Failure to make timely delivery:
In the event the Seller due to reasons within its responsibility fails to make delivery of all or any part of the Goods and/or perform any other obligation on time as stipulated in this Contract,unless the Parties agreed on a grace period,the Seller shall pay a penalty to the Buyer at the rate of 0.05% of Total Purchase Price per each day of the delay in delivering the Goods and/or performing other obligations.
Buyer shall be entitled to terminate the Contract if there is a delay for more than 60 calendar days.
At the option of the Buyer,such penalty shall be paid by Seller immediately upon receipt of Buyer’s request for payment or by withholding by Buyer from future payments to Seller (if any) the relevant amounts at the source of payment.
