Each Party (“Indemnifying Party”) agrees to defend,indemnify and hold harmless the other Party,its officers,directors,agents,employees,Affiliates,successors and assigns (“Indemnified Parties”) from and against any and all liabilities,assessments,losses,costs or damages (including reasonable attorneys’ fees and expenses) arising out of or resulting from any claims brought against such Indemnified Party by a third party to the extent such claims arise out of or result from the breach of this Agreement by the Indemnifying Party or the negligence or willful misconduct of the Indemnifying Party,its contractors,employees or agents in connection with the performance of this Agreement (but not to the extent arising from the negligence or willful misconduct of an Indemnified Party or such Indemnified Party’s contractors,employees or agents).
