At the request of NORTHERN TRUST COMPANY (hereunder referred to as “the application”),We hereby issue our irrevocable Standby Letter of Credit NO.XXXXXXXX-H.In favor of CHINA MERCHANTS BANK,SHENZHEN PINGHU SUB-BRANCH,for facilities under loan agreement No.xxxxx-2010 granted to PANZHIHUA YUANFEN TITANIUM INDUSTRY CO.,LTD.(“Borrower”) and for up to the aggregate amount of USD.5,000,000.00(United states dollars five million only).Available for payment against your tested telex or authenticated swift to us stating as follows:
“We hereby certify that the amount of such claims(s) represents and covers the unpaid indebtedness (inclusive of accrued interests,charges and other expense) due to us by PANZHIHUA YUANFENY TITANIUM INDUSTRY CO.,LTD.(“Borrower”) under the loan agreement No.xxxxx-2010.In respect of loan facility granted by us to the borrowers”
The selling rates of U.S.Dollars to renminbi quoted by CHINA MERCHANTS BANK,SHENZHEN PINGHU SUB-BRANCH on the date of your drawing shall be used for the calculation of your drawing amount.
All bank char relating to this Standby Letter of Credit are for application account.
Partial drawings are acceptable.
This Standby Letter of Credit is Non-Transferable.
This Standby Letter of Credit is effective from November 12,2010 and expire on November 13,2011 at the counter of CHINA MERCHANTS BANK,SHENZHEN PINGHU SUB-BRANCH.
All claims hereunder must reach to us not later than the above mentioned expiry date and after the expiry dare this Standby Letter of Credit automatically becomes null.
We hereby agress and undertake that your claims(s) under and in compliance with the terms and conditions of this credit will be duly honored upon presentation.
This standby Letter of Credit is subject to the Uniform Customs and Practive for Documentary Credit (2007 revision)ICC Publication No.600.
