1.1 The Vendor must:
• keep confidential all Confidential Information provided by the Company or otherwise obtained by the Vendor ; and
• not disclose the Confidential Information ,without the Company's prior written approva l as agreed to by both parties.
Specific obl igations
1.2 The Vendor must not:
• use or allow any person to use Confidential Information for any purpose other than for providing the Services;
• disclose or in any way communicate to any other person any Confidential Information,except as authorised and agreed to by both parties;
• allow any unauthorised person to have access to places where Confidential Information is displayed ,reproduced or stored ; or
• make or assist any person to make any unauthorised use of
Confidential Information .
Vendor's directors,employees and agents
1.3 The Vendor must:
• ensure that Confidential Information is disclosed only to those of the Vendor/Sub-Vendors,directors,employees or agents who need the information for the purpose of providing the Services.and then only to the extent that they need it;
• cause all of its directors ,employees and agents who have or are likely to have access to any of the Confidential Information to observe all the obligations of confidentiality under this clause:and
• use every effort to limit the number of its directors ,employees and agents who have access to any of the Confidential Information .
Public Statements
1.4 The Vendor shall not:
• make any public statements or releases to the media concerning the Services or this Contract; or
• give any undertakings to or disclose or discuss any aspect of the Services or this Contract to or with any government department,agency or statutory authority ,without the prior written approval of the Company .
