To keep the Confidential Information,either orally or in writing,under strict confidentiality;
(ii) To restrict the handling of Confidential Information to that by our officers who participate in the Service;
(iii) To use the Confidential Information only in relation to the Service,abstaining from copying and/or disclosing such Confidential Information to third parties without prior written consent by us;
(iv) Not to disseminate or disclose to third parties the Confidential Information provided to us; and
(v) To abstain from using the Confidential Information,whether totally or partially,either for our own (other than as contemplated by your business relation with us) or for third parties’ benefit.
2.Additionally,we acknowledge and accept that:
(i) The delivery,dissemination or disclosure of the Confidential Information does not entail the granting of any right or license over patents,copyrights,trademarks,industrial secrets,or any other intellectual property right owned by GIC or derived from the Confidential Information;
(ii) The confidentiality obligation undertaken by us through this letter shall remain in full force and effect for a period of 2 years as from this date,or as long as the subscription to the Service is in effect;
(iii) Upon termination of the Service,we shall return to GIC the Confidential Information provided to us and we shall destroy the information which,due to the nature of the Service,is in our computers and in other work equipment.
3.The confidentiality obligations arisen from this agreement shall not be applied to:
(i) The information known by the Company prior to the date of commencement of the Service;
(ii) The information which currently is or in the future becomes publicly known through any written publication or any other means other than through any action by the Company;
(iii) The information obtained as a consequence of the disclosure under this agreement from any third party who is legally in possession thereof,and who is not subject to any confidentiality obligation; and
(iv) The information which must be disclosed due to a legal rule or a court order.
4.Should the Company be legally required to disclose any Confidential Information,the Company shall forthwith inform of such fact to GIC,so that the latter may obtain an injunction or any other appropriate remedy in relation to such disclosure.
