“Change of Control” means,with respect to any Party,any event in which;
(i) any other person or entity acquires beneficial
ownership of securities of such first person or entity
representing more than fifty percent (50 %) of the
voting power of the then outstanding securities of such
first person or entity; or (ii) such person or entity
enters into merger,consolidation or similar transaction
with another person or entity in which such first person
is not the surviving entity in such transaction; or (iii)
any other similar event where the voting or analogous
control over the decisions taken by a Party changes.
