The delay or omission to exercise any right,which stems from the law or the present contract,from any party does not consist at any case renunciation of that right.Such renunciation is only valid if it is in written.
Any dispute arising from this agreement shall be settled finally under the rules of conciliation and Arbitration of the International Chamber of Commerce in Paris(Fance)by a single arbitrator appointed in accordance with this rules.The law governing the present contract and the arbitration in the 1980 United Nations convention on international sale of goods,and for what therein not expressly regulated the UNIDROIT Principles of International Commercial Contracts and for what therein still not expressly regulated the principal of law generally recognized in international trade as applicable to the matter in controversy.The arbitrations shall be conducted in English,.All costs of arbitration,including,without limitation,legal fees and witness expenses shall be awarded to the prevailing Party.
Judgement on the award may be entered in any court capable of exercising jurisdiction.
Once the arbitration hearing has commenced,it shall remain in continuous session until concluded,weekends and local holidays excepted.the arbitrators shall issue a reasoned award within thirty days of the conclusion of the hearing.The award shall remain confidential and no appeals will be taken from the award nor its enforcement opposed except on the grounds of material undisclosed conflict of interest on the part of the arbitrator or fraud.
