78.\x05POWER TO ADD DIRECTORS
(A)\x05Subject to the provisions of these Articles the Directors shall have power from time to time and at any time to appoint any person to be a Director either to fill a casual vacancy or as an additional Director.A Director so appointed shall retire from office at:
(a)\x05the close of the next Annual General Meeting; or
(b)\x05if a resolution to dispense with Annual General Meeting is in force,then on the earlier of:
(i)\x05the expiration of the period within which the next Annual General Meeting after the date of his/her appointment is required by law to be held but for such resolution; or (ii)\x05the date of the written resolution of the Company dealing with matters routinely dealt with at or to be done in relation to such Annual General Meeting.
(B)\x05Any director retiring as aforesaid,shall be eligible for re election at the Annual General Meeting.If a resolution to dispense with Annual General Meetings is in force,any Director due to retire under this Article may,if he/she consents to such re-election,be re-elected by way of a written resolution of the Company.
(C)\x05If the Company has only one Director,that Director shall not be required to retire as provided in Article 78(A) and shall continue in office.
