The granting by either party of any time in respect of any breach of any term of this Agreement or any failure at any time to insist upon or enforce any right remedy or power shall not be deemed a waiver of this Agreement and the waiver by any party of any breach of any terms of this Agreement shall not prevent the subsequent enforcement of that term and shall not be deemed a waiver of any subsequent breach.

本協(xié)議各方協(xié)商確定的全部權(quán)利、補(bǔ)償和權(quán)力是合并為一的,不應(yīng)解釋為或者限定為各方依據(jù)法律或其他方面的根據(jù)協(xié)商而定的現(xiàn)在或者將來(lái)的其他任何權(quán)利、補(bǔ)償或權(quán)力.
這是常見于與英、美國(guó)家客商簽訂的合同（協(xié)議）中的“補(bǔ)償與放棄”（Remedies and Waivers）條款內(nèi)容（有人也譯為“權(quán)利保留”條款）,大致意思就是約定：如果一方違約,另一方放棄追究（此次）違約責(zé)任權(quán)利的話,違約方不得以此次“放棄”為依據(jù),而要求另一方在以后不得追究以后的違約行為在責(zé)任.通常是守約方對(duì)自己的權(quán)利保護(hù)措施之一.

2.第1句的主語(yǔ)就是“granting”,而定語(yǔ)部分過(guò)長(zhǎng),要按照漢語(yǔ)習(xí)慣,定語(yǔ)部分譯作（漢語(yǔ)）狀語(yǔ),進(jìn)而突出“granting”（放棄）所引起的后果的處置.
