Company A shall,in addition to the other amounts payable by Proview under this Agreement,pay all taxes,including but not limited to sales and use taxes,value added taxes,transfer taxes,excise taxes,or any other similar taxes or payments (collectively “Taxes”) imposed by any governmental authority or agency only by reason of the transactions contemplated by this Agreement provided that Company A shall not be responsible for the payment of any Taxes imposed upon the net income of Company B,and which are permitted to be collected by Company B under applicable law.Company A may provide Company B with a valid exemption certificate in which case Company B will not collect the taxes covered by such certificate.
