Failure by either Party to insist upon strict performance of any provision herein by the other Party shall not be deemed a waiver by such Party of its rights or remedies,or a waiver by it of any subsequent default by the other Party,and no waiver by a Party shall be effective unless it is in writing and duly executed by such Party
In case any provision hereunder is determined by an arbitrator or by a court of competent jurisdiction to be invalid,illegal or unenforceable,such provision shall be automatically reformed and construed so as to be valid,legal and enforceable to the maximum extent permitted by law or equity while preserving its original intent.The invalidity,illegality or unenforceability of any part of this Agreement shall not render invalid the remainder of this Agreement.
