(ii) the use or combination of the Materials or Services with any ABC or SP material or ABC or SP Intellectual Property where but for such use or combination such infringement would not exist; or (iii) continued use of Materials after Supplier has provided written notice to ABC that said Materials infringe the Intellectual Property Rights of a third party,provided Supplier has provided ABC or SP with an functionally equivalent alternate or suitable work around for the infringing Materials or Services and provided that ABC or SP has been given a reasonable timeframe to transition to such alternative or workaround.
